1. About these Terms

1.1 Who we are. These Terms of Service ("Terms") are an agreement between you and Nextale FZE, a free zone establishment registered in the Sharjah Publishing City Free Zone, United Arab Emirates, under licence no. 4432313.01, with its registered address at Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates ("Nextale", "we", "us" or "our").

1.2 What they cover. These Terms govern your use of nextale.com, the Nextale apps, and related services, features and content (together, the "Service").

1.3 Acceptance. You accept these Terms when you create an account, make a purchase or otherwise use the Service. If you don't agree, don't use the Service.

1.4 Other terms. Our Privacy Policy explains how we handle personal information. Creators also agree to the documents in Section 11. Some features, such as referral programs and promotions, have additional terms that we show when you join them.

2. The Service

2.1 What Nextale is. Nextale is an open platform for short vertical series and other video content, in many genres, made by independent creators.

2.2 Free and paid episodes. Some episodes are free previews, and you may watch them on the website without an account. Other episodes are unlocked with coins and watched while signed in to your account. Some features, including paid episodes, may be available only in the Nextale apps.

2.3 Creator content. Content on Nextale is created by independent creators, not by Nextale, and doesn't reflect Nextale's views. Much of it is made wholly or partly with AI tools. All series are fiction unless clearly stated otherwise.

2.4 Mature themes. Nextale doesn't publish explicit sexual content, but some series deal with mature themes such as violence, crime, horror and dark romance. Titles carry ratings and content labels to help you choose what to watch.

2.5 Availability. Titles, features and prices can change, and may differ by country, platform and device. We may add, change or remove content and features at any time.

3. Eligibility and accounts

3.1 Age. You must be at least 18 years old, or the age of majority where you live if higher, to create an account or make a purchase. We ask you to confirm your age at sign-up and may ask you to verify it.

3.2 Sanctions. You may not use the Service if you are located in a country or region subject to comprehensive sanctions, or if you appear on a sanctions list maintained by the United Nations, United States, European Union, United Kingdom or United Arab Emirates.

3.3 Your account. Give accurate information and keep it up to date. Each account is for one person. Keep your login details secure; you are responsible for activity under your account. Tell us at play@nextale.com if you suspect unauthorized use. If you sign in with Apple or Google, their terms also apply to that sign-in.

3.4 Deleting your account. You can delete your account at any time in your account settings in the app, or by emailing play@nextale.com from the email address on your account. Deletion is permanent: your coins, unlocked episodes and history are lost and can't be restored. Deleting your account doesn't cancel a plan bought through Apple or Google; cancel it with them (Section 5.4).

4. Coins

4.1 What coins are. Coins are a virtual item used to unlock episodes and other features in the Service. When you get coins, you receive a limited, personal, non-transferable license to use them in the Service. Coins are not money, have no cash value, don't earn interest and are not your property. You can't sell, transfer or exchange coins for cash or anything else of value, except where the law requires.

4.2 Purchased and reward coins. "Purchased coins" are coins you pay for, including coins in coin packs and plans. "Reward coins" are coins we give you for free, for example as purchase bonuses, promotions, referral rewards, daily check-ins or compensation. When you unlock an episode, reward coins are used before purchased coins.

4.3 Expiry. Purchased coins don't expire while your account is active. Reward coins expire after the period shown when you receive them, which can be as short as 72 hours. Expired reward coins are removed without compensation.

4.4 Unlocking episodes. We show the coin price of an episode before you confirm the unlock. Within a series, later episodes never cost more coins than earlier ones. Coins spent on unlocks aren't returned, except as described in Section 7.3 or where the law requires.

4.5 Changes. We may change coin pack prices, sizes and bonuses, and the coin price of unlocks, for future purchases and unlocks. Changes don't remove coins already in your balance or episodes you have already unlocked.

4.6 Errors. If coins are added to your account by mistake, for example through a technical or pricing error, we may remove them. If you were charged incorrectly, we'll correct the charge.

5. Purchases, prices and plans

5.1 Prices. We show the price before you buy, in your local currency where available. Prices may differ between the website and the apps, between countries and over time. Taxes are included or added as shown at checkout.

5.2 Payment providers. Purchases on our website are processed by Stripe. Purchases in our apps are processed by Apple or Google under their terms. We don't receive or store your full card details.

5.3 Plans that renew automatically. Some offers, such as our monthly coin plan, are plans that renew automatically each month until you cancel. Before you buy a plan, we show its price, billing period, what each period includes and how to cancel. At the start of each billing period, we charge the plan price to your payment method and deliver what the plan includes, such as coins. We don't offer weekly billing.

5.4 Cancelling a plan. You can cancel at any time before your next renewal:

  • for plans bought on our website, in your account settings, or by emailing play@nextale.com;
  • for plans bought in our apps, in your Apple or Google subscription settings. Deleting the app doesn't cancel the plan.

Cancellation takes effect at the end of your current billing period. You keep the coins already delivered. We don't give refunds for partial billing periods, except where the law requires.

5.5 Price changes for plans. We'll notify you at least 30 days before a price increase applies to your plan, so you can cancel first. Where the law requires your consent to a price increase, we'll ask for it, and your plan will end at the end of the current period if you don't give it. Plans bought through Apple or Google follow their price-change process.

5.6 Trials and introductory offers. If we offer a free trial or introductory price, we show its terms before you sign up. Unless you cancel before the trial or offer period ends, the plan continues at the regular price shown. Where the law requires, we'll remind you before the trial ends.

5.7 Confirmations and reminders. We send a confirmation of each plan you buy, including how to cancel, and renewal reminders where the law requires.

6. Refunds

6.1 Website purchases are final. Purchases made on our website are non-refundable, except:

  1. duplicate charges;
  2. charges you didn't authorize, if you tell us within 60 days of the charge;
  3. purchases we couldn't deliver because of a technical problem we can't fix; and
  4. where the law requires a refund.

To request a refund, email play@nextale.com with your account email and the purchase details.

6.2 App purchases. Refunds for purchases made through the App Store or Google Play are handled by Apple or Google under their policies. We can't issue refunds for those purchases ourselves.

6.3 EU, EEA and UK consumers. Consumers in these regions normally have 14 days to withdraw from a contract for digital content. When you buy coins or a plan, you ask us to supply them immediately and acknowledge that you lose this right of withdrawal once they are added to your account. This doesn't affect your legal rights if digital content is faulty or not as described.

6.4 Chargebacks. If you dispute a valid charge with your bank or card issuer, we may suspend your account while the dispute is resolved and remove the coins and unlocks bought with that charge.

6.5 Your legal rights. Nothing in this Section limits rights you have under consumer protection law that can't be excluded by contract.

7. Unlocked episodes and your viewing license

7.1 Your license. Subject to these Terms, Nextale grants you a limited, personal, non-exclusive, non-transferable and revocable license to stream content through the Service for your own non-commercial viewing. Unlocking an episode gives you this license for that episode on your account. You don't own the content.

7.2 How long you keep access. Episodes you unlock stay available on your account for as long as your account is active and we operate the Service. This includes when a creator later removes the series from Nextale.

7.3 Content removed for legal reasons. Sometimes we must remove content for legal, rights, safety or policy reasons. If an episode you unlocked becomes unavailable for one of these reasons, we'll credit your account with reward coins equal to the coins you spent unlocking it, unless the law requires a different remedy.

7.4 Offline viewing. Where the app offers downloads, downloaded episodes can be watched only in the app, on that device, for a limited time.

7.5 Restrictions. You must not:

  • download, copy, record, screen-capture or rip content, except through features we provide;
  • re-upload, share, sell, rent, broadcast or publicly show content;
  • get around paywalls, content protection, age controls or regional restrictions;
  • share your account or sell access to it; or
  • use content or data from the Service to train AI models, or for scraping or data mining.

8. Using Nextale responsibly

You agree not to:

  • use the Service for any unlawful purpose or in breach of these Terms;
  • use bots, scrapers or other automated means to access the Service;
  • create fake or multiple accounts, or abuse promotions, free offers or referral programs;
  • upload malware, probe our security, or disrupt or overload the Service;
  • copy, modify or reverse engineer our apps or website, except where the law allows;
  • harass, threaten or impersonate other users, creators or Nextale staff; or
  • infringe the intellectual property or other rights of Nextale, creators or anyone else.

9. Your activity and posts

9.1 Social features. You may like, save, share and follow content and creators. Where available, you may also post comments and set a display name and profile photo ("Your Posts").

9.2 Rules. Your Posts must be lawful and respectful. No harassment, hate, threats, spam, sexual content, other people's personal information, or content you don't have the right to share. We may remove Your Posts and restrict accounts that break these rules.

9.3 License. You keep ownership of Your Posts. You grant Nextale a worldwide, non-exclusive, royalty-free license to host, store, display and distribute Your Posts in the Service, for as long as they remain on it.

9.4 Public information. Your display name, profile photo and public activity, such as comments, may be visible to other users and to creators.

10. Promotions and referrals

10.1 Extra terms. We may run referral programs, promotions, contests and rewards. Each comes with its own terms, which we show when you join.

10.2 Referral rewards. Referral rewards apply only to new accounts that sign up through your link and meet the program's conditions. Self-referrals, fake accounts and spam are not allowed. We may withhold or reverse rewards obtained through abuse, refunds or chargebacks.

11. Creators

If you publish content on Nextale, you also agree to the Nextale Creator Agreement and Content Policy, which you accept in Nextale Studio (studio.nextale.com). They govern creator content, licensing, earnings and payouts, and they prevail over these Terms for creator activity. Creators keep ownership of their content and license it to Nextale as the Creator Agreement describes.

12. Intellectual property

12.1 Ours. The Nextale name and logo, our apps, website, software and designs belong to Nextale or its licensors.

12.2 Creators'. Series and other creator content belong to their creators and are licensed to Nextale.

12.3 No other rights. You get only the rights these Terms expressly grant. All other rights are reserved.

12.4 Feedback. If you send us suggestions or feedback, we may use them freely without any obligation to you.

13. Copyright and content reports

13.1 Reporting content. You can report content that may break our rules using the report option in the Service or by emailing legal@nextale.com.

13.2 Copyright notices. We respond to notices of alleged copyright infringement, including under the US Digital Millennium Copyright Act. Our designated agent is: Copyright Agent, Nextale FZE, Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates, legal@nextale.com. Your notice must include:

  1. a description of the copyrighted work you say is infringed;
  2. the link to, or location of, the allegedly infringing content on Nextale;
  3. your name, address, phone number and email address;
  4. a statement that you believe in good faith that the use isn't authorized by the copyright owner, its agent or the law;
  5. a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner; and
  6. your physical or electronic signature.

13.3 Counter-notices. If your content was removed because of a mistake or misidentification, you may send a counter-notice to the same address. It must include:

  1. a description of the removed content and where it appeared;
  2. a statement, under penalty of perjury, that you believe in good faith it was removed by mistake or misidentification;
  3. your name, address, phone number and email address;
  4. your consent to the jurisdiction of the US federal district court for your address or, if you are outside the United States, any judicial district in which Nextale may be found, and your agreement to accept service of process from the person who sent the original notice; and
  5. your physical or electronic signature.

We may restore the content 10 to 14 business days after receiving a valid counter-notice, unless the person who sent the original notice tells us they have filed a court action.

13.4 Repeat infringers and false notices. We terminate the accounts of repeat infringers in appropriate circumstances. Knowingly false notices or counter-notices may create legal liability.

13.5 Other rights complaints. For complaints about trademarks, likeness, privacy or defamation, email legal@nextale.com with the details and your evidence.

14. Changes, suspension and termination

14.1 By you. You can stop using the Service at any time and delete your account as described in Section 3.4.

14.2 By us. We may suspend or close your account if you breach these Terms, commit fraud or abuse chargebacks, if the law requires it, or if your use creates risk or harm for Nextale, creators or other users. Where reasonable, we'll tell you why. If we close your account because of your breach, your coins and unlocks are forfeited without refund, except where the law requires otherwise.

14.3 If we stop the Service. If we stop operating the Service, we'll give you at least 30 days' notice. Where the law requires, we'll refund the value of your unused purchased coins.

14.4 What continues. Sections 4.1, 6, 12, 13.4, 15, 16 and 18 continue after your account ends.

15. Disclaimers and liability

15.1 The Service is provided "as is". To the extent the law allows, we provide the Service "as is" and "as available", without warranties of any kind, express or implied. We don't promise that the Service will be uninterrupted or error-free, or that any particular content will be available. Creators are responsible for their own content.

15.2 Excluded losses. To the extent the law allows, Nextale is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.

15.3 Cap. To the extent the law allows, Nextale's total liability to you for all claims relating to the Service is limited to the greater of (a) the amount you paid Nextale in the 12 months before the event giving rise to the claim, and (b) USD 100.

15.4 What we don't exclude. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be excluded or limited by law. If you are a consumer in the EU, EEA or UK, you keep your statutory rights, including for digital content that is faulty or not as described, and we are responsible for foreseeable loss and damage caused by our breach of these Terms or our negligence.

16. Disputes, arbitration and class-action waiver

16.1 Talk to us first. Before starting formal proceedings, email legal@nextale.com with a description of the dispute. We'll both try in good faith to resolve it within 30 days.

16.2 Governing law. These Terms, and any non-contractual obligations arising from them, are governed by the laws of England and Wales. If you are a consumer, you also keep the protection of any mandatory consumer laws of the country where you live.

16.3 Arbitration. Except as set out in Sections 16.5 and 16.7, any dispute, controversy or claim arising out of or in connection with these Terms or the Service, including any question about their existence, validity or termination, will be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under the DIAC Arbitration Rules in force when the arbitration starts. The seat of arbitration is the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates. There will be one arbitrator, and the language of the arbitration is English. Hearings will be held remotely by video, and the arbitrator may decide the dispute on documents alone where appropriate.

16.4 Fees for small consumer claims. If you are an individual and your claim is for USD 10,000 or less, Nextale will pay the DIAC registration, administrative and arbitrator fees, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. Each party otherwise bears its own legal costs, unless the arbitrator decides otherwise.

16.5 Exceptions. Section 16.3 doesn't stop:

  • either party from bringing an individual claim in a small claims court in your country of residence, within that court's limits;
  • either party from asking a court for urgent interim or injunctive relief, or Nextale from bringing proceedings in any competent court to protect its intellectual property or the security of the Service; or
  • a consumer living in the EU, EEA or UK from bringing proceedings in the courts of their country of residence. For these consumers, Section 16.3 applies only if they choose arbitration after a dispute has arisen, and Nextale may bring proceedings against them only in the courts of their country of residence.

16.6 Individual claims only. You and Nextale may bring claims against each other only in an individual capacity, and not as a claimant or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine claims of different users or award relief to anyone who isn't a party. If this Section 16.6 is found unenforceable for a particular claim, that claim must be separated and decided by a court, and Section 16.3 doesn't apply to it.

16.7 Opting out of arbitration. You may opt out of arbitration by emailing legal@nextale.com within 30 days after you first accept these Terms. Include your name, your account email and a clear statement that you opt out of arbitration. If you opt out, disputes will be decided by the courts of the DIFC, subject to Section 16.5. Opting out doesn't affect any other part of these Terms.

16.8 Confidentiality. The arbitration and any award are confidential, except as needed to enforce the award or as the law requires.

17. Apple and Google

17.1 Apple. If you downloaded our app from Apple's App Store, you and Nextale also agree that:

  • these Terms are between you and Nextale only, not Apple, and Nextale, not Apple, is solely responsible for the app and its content;
  • your license to use the app is limited to Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions, except that the app may also be accessed by other accounts associated with you through Family Sharing or volume purchasing;
  • Apple has no obligation to provide maintenance or support for the app;
  • if the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs or expenses arising from a failure to conform to a warranty are Nextale's responsibility, to the extent not disclaimed in these Terms;
  • Nextale, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws;
  • if a third party claims that the app or your use of it infringes their intellectual property rights, Nextale, not Apple, is responsible for the investigation, defense, settlement and discharge of that claim;
  • you confirm that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties;
  • you must comply with any third-party terms that apply when you use the app, such as your wireless data service agreement;
  • questions, complaints or claims about the app should be sent to Nextale using the details in Section 19; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them, Apple has the right to enforce these Terms against you as a third-party beneficiary.

17.2 Google. If you downloaded our app from Google Play, purchases made through Google Play are also subject to Google Play's terms and refund policies. Google is not a party to these Terms and is not responsible for the app.

18. General terms

18.1 Changes to these Terms. We may update these Terms. We'll post the new version on this page with a new "Last updated" date. For changes that materially affect you, we'll notify you by email or in the app at least 30 days before they take effect, unless the change is required by law or needed for security. If you don't agree to a change, stop using the Service and delete your account before it takes effect. Changes don't apply to disputes already notified under Section 16.1.

18.2 Entire agreement. These Terms, together with the documents they refer to, are the entire agreement between you and Nextale about the Service.

18.3 Assignment. We may transfer these Terms to an affiliate or to a successor in a merger, acquisition, reorganization or sale of assets, and we'll tell you if we do. You may not transfer these Terms without our written consent.

18.4 Events beyond our control. We're not responsible for delays or failures caused by events beyond our reasonable control, such as outages of hosting, payment or app store providers, natural disasters, war or government action.

18.5 Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a right straight away, we don't lose it.

18.6 Third parties. No one other than you and Nextale has rights under these Terms, except Apple as described in Section 17.1. The Contracts (Rights of Third Parties) Act 1999 applies only to that extent.

18.7 Notices and electronic communications. We send notices to the email address on your account or in the app, and you agree to receive them electronically. Send legal notices to legal@nextale.com.

18.8 Language. If we provide a translation of these Terms, the English version prevails.
